Robert I. Toll: Chairman of the Board and Chief Executive Officer

Robert I. Toll is Chairman and Chief Executive Officer of Toll Brothers, Inc., the leading builder of luxury homes. Toll Brothers, founded in 1967, develops residential communities in 21 states.

Toll was named CEO of the Year by Builder Magazine in 2005. In 2007, 2008, and 2009 Institutional Investor magazine named Bob Toll the Best CEO in the Homebuilders & Building Products industry.

Bob earned a Bachelor of Arts Degree from Cornell University in 1963, and his LLB degree, cum laude, from the University of Pennsylvania Law School in 1966. Bob was named Cornell Entrepreneur of the year in 2005.

Bob and his wife reside in Bucks County, PA, located north of Philadelphia. They have five children and ten grandchildren. In addition to his dedication to family and business, he is an avid skier, tennis player, sailor, and golfer. Bob is also devoted to numerous nonprofits. He and his wife are especially dedicated to Seeds of Peace, a camp in Maine that brings Arab and Israeli and Indian and Pakistani teenagers together to understand the face of the enemy and become friends while dealing with conflict resolution.

In 1990, the Tolls sponsored 58 third graders in a program called Say Yes to Education which was affiliated with the University of Pennsylvania Graduate School of Education. They guaranteed a college education to the 58 students and provided counseling, instructional aid and summer programs. An unprecedented number of the students graduated from high school and college and are now at work, college or graduate school.

Bob has been a long-time fundraiser for the American Red Cross and now the American Cancer Society. Mr. Toll serves on the Board of Directors of the Cornell Real Estate Council, Seeds of Peace, and Beth Shalom Synagogue. He was a member of the Democratic National Finance Committee during the Obama campaign, and was recently chosen to serve on the Defense Business Board. Bob is a Trustee of the University of Pennsylvania, and is on the Board of Overseers of the University of Pennsylvania Law School, where he established the Albert & Sylvia Toll Scholarship Foundation. Bob is also on the Board of Directors of the Metropolitan Opera.

Zvi Barzilay: President and Chief Operating Officer

Zvi Barzilay joined Toll Brothers in 1980 and has held various management responsibilities. In 1994 he became a member of the board of Directors of the the company. In 1998 he assumed the positions of President and Chief Operating Officer.

Zvi is responsible for company-wide operations including homebuilding, land acquisitions and approvals, engineering, architecture, sales and marketing, golf course operations, and product development. He has overseen the formation and growth of Toll Integrated Systems, the company's manufacturing subsidiary. He also oversees Toll Brother's' expansion into ancillary businesses.

Prior to joining Toll Brothers, Zvi was the Chief Center City Planner for the Philadelphia City Planning Commission, was a professor of architecture and urban design, as well as a visiting critic at Princeton University and the University of Pennsylvania Schools of Architecture.

Zvi received a Masters in Urban Design/Real Estate Development from Harvard University and a Bachelor in Architecture from the University of Maryland.

Joel H. Rassman: Executive Vice President, Treasurer, Chief Financial Officer and Director

Mr. Rassman graduated from Brooklyn Technical High School in 1963. Upon graduation, he enrolled in Brooklyn College. After determining he wanted a degree in business or accounting, he switched to Bernard Baruch College from which he graduated in 1967. Upon graduation, Mr. Rassman took a position with S. D. Leidesdorf & Company (which later merged with what is now Ernst and Young). Mr. Rassman left Leidesdorf in 1972 to join Kenneth Leventhal & Company (which later merged with what is now Ernst and Young).

Mr. Rassman was a partner in the international accounting firm of Kenneth Leventhal, based in their New York City office until 1984. In addition to normal accounting assignments, he was involved in a number of major judicial and non-judicial reorganizations representing both debtors and creditors, and he was engaged as a consultant to a number of major banks and companies assisting in business, tax, and accounting areas.

Since 1984, Mr. Rassman has been responsible for and/or has overseen the financial, mortgage banking, accounting, internal audit, and tax operations for Toll Brothers. In this capacity, he was instrumental in the strategic reorganization of the Company for future growth in anticipation of its initial public offering in 1986. Mr. Rassman is responsible for Toll's banking and Wall Street relationships and has guided the company through three bank consortiums and six renewals, and ten public subordinated debt offerings, two senior investment grade debt offerings (144A), one convertible subordinated debt and three equity offerings.

Mr. Rassman holds professional memberships in the American Institute of Certified Public Accountants and the New York State Society of Certified Public Accountants.

Mr. Rassman has made numerous guest appearances on CNBC, CNN, Fox, CNN FN, Bloomberg TV and Bloomberg Radio.

Douglas C. Yearley, Jr.: Executive Vice President

Doug Yearley joined Toll Brothers in 1990 and has held various management positions. He initially specialized in land acquisitions from financial institutions and the Resolution Trust Corporation. Since then he has helped oversee the substantial growth of the Company through new market expansion and builder acquisitions. As Regional President since 2005, he has managed homebuilding operations in nine markets throughout the country. In addition, he has overseen the creation of the Toll Brothers City Living brand, whose operations he manages in the New Jersey markets of Hoboken and Jersey City. He runs the Company's builder and distressed asset acquisition groups. He also oversees the Company's marketing department and ancillary businesses of Westminster Title and Westminster Home Security.

Prior to joining Toll Brothers, Doug was an attorney at Archer & Greiner, a major New Jersey law firm, where he specialized in commercial litigation.

Doug received a J.D. from Rutgers Law School in 1986 and a B.S. from Cornell University in Applied Economics & Business Management in 1982.

Doug resides in New Jersey and has 5 children. He enjoys golf, tennis, skiing, mountain climbing and travel. He is also an active board member on the Yearley Family Foundation, a charity which supports underprivileged children through education.
